Terms of Use

These terms ("Terms") apply to your access to and use of the Evistruct website at www.evistruct.co.uk, the Evistruct client portal and any other Evistruct-branded pages that link to these Terms (together, the "Site"). The Site is operated by Evistruct Limited, a company registered in England and Wales ("Evistruct", "we", "us", "our").
These Terms do not govern the paid delivery of our medical writing, manuscript editing, data analysis, biostatistics or real-world evidence services (the "Services"), which are provided under a separate written engagement or order confirmation (the "Services Agreement"). Where the Services Agreement conflicts with these Terms, the Services Agreement prevails in respect of the Services.
Please read these Terms together with our Privacy Notice and Refund Policy, which form part of these Terms. By using the Site you confirm that you are at least 18 years old and that you accept these Terms. If you do not agree, please do not use the Site.
1. Changes to these Terms
We may update these Terms from time to time to reflect changes in our Services, our practices or the law. The current version is always available at this URL and is dated above. Continued use of the Site after an update constitutes acceptance of the revised Terms. If a change materially affects your rights, we will take reasonable steps to bring it to your attention.
2. Accounts and client portal
Some areas of the Site — including document upload, project tracking and invoicing — require a client account. You are responsible for keeping your login credentials confidential and for all activity carried out under your account. Please notify us promptly at hello@evistruct.co.uk if you suspect unauthorised access. Accounts are intended for the named user or institution and may not be shared without our written consent.
3. Permitted use of the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access the Site for the purpose of evaluating, ordering and managing our Services and reading our published content. You may print or download reasonable extracts of our public articles, newsletters and service descriptions for personal or internal business reference, provided that all copyright and attribution notices are preserved.
You agree not to:
- use the Site for any unlawful, fraudulent or misleading purpose, or in a way that infringes the rights of any third party;
- upload or transmit any material that is defamatory, harassing, obscene, discriminatory or otherwise objectionable, or that contains malware, viruses or harmful code;
- attempt to gain unauthorised access to any part of the Site, our infrastructure or another user's account;
- scrape, crawl, mirror, harvest or otherwise extract content or personal data from the Site by automated means, except for search-engine indexing in line with our robots.txt;
- reverse engineer, decompile or copy the structure, code or "look and feel" of the Site, except to the limited extent permitted by applicable law;
- use the Site to develop a competing product or service, or to train artificial-intelligence models on our content without our prior written consent; or
- interfere with the operation of the Site, including by overloading our servers or circumventing access controls.
4. Material you submit
"Submissions" means any document, dataset, manuscript, draft, reference, comment, feedback, image or other material you provide to us through the Site (for example, when requesting a quote or uploading work for editing or analysis). You retain ownership of your Submissions. You grant Evistruct a limited, royalty-free licence to access, store, copy, transmit and process your Submissions strictly to the extent needed to provide the Services, communicate with you about them and meet our legal obligations.
We treat manuscripts, datasets and project materials as confidential. They are accessible only to the Evistruct team members and approved subprocessors working on your project, and they are never used to train third-party generative-AI models. Further detail is set out in our Privacy Notice.
You warrant that you have the right to submit each Submission, that doing so does not breach any duty of confidentiality, intellectual-property right, data-protection law or research-ethics obligation, and that you have obtained any consents required (including from co-authors, institutions and data subjects). You are responsible for keeping your own backup copies of any material you provide to us.
5. Our content and trade marks
All content on the Site that is not a Submission — including text, graphics, the Evistruct name and logo, design, layout and software — is owned by or licensed to Evistruct and is protected by copyright, database rights, trade-mark and other intellectual-property laws. Other names and marks appearing on the Site are the property of their respective owners and are used for identification purposes only.
6. Third-party links
The Site may link to external resources, journals, regulatory guidance or partner websites. We provide these links for convenience only; we do not control and are not responsible for the content, accuracy or privacy practices of third-party sites. When you leave the Site, the terms and privacy notices of the destination apply.
7. Availability and disclaimers
We work hard to keep the Site available and accurate, but we provide it on an "as is" and "as available" basis. Subject to section 8, we make no warranties or representations that the Site will be uninterrupted, error-free, secure or free from viruses, or that any information on the Site is complete, current or suitable for a particular purpose. Articles, newsletters and editorial content are provided for general information only and do not constitute medical, regulatory, statistical or legal advice; for that you should engage us under a Services Agreement.
8. Liability
Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded under the laws of England and Wales, including under the Consumer Rights Act 2015 where you use the Site as a consumer.
Subject to the paragraph above, and to the maximum extent permitted by law, Evistruct will not be liable to you for any indirect, special, incidental or consequential losses, or for any loss of profits, revenue, business, opportunity, goodwill, data or anticipated savings arising out of or in connection with your use of the Site. Our total aggregate liability arising out of or in connection with your use of the Site (and separately from any liability under a Services Agreement) is limited to £100.
9. Suspension or termination
We may suspend or terminate your access to all or part of the Site at any time, with or without notice, if we reasonably believe you have breached these Terms, if we are required to do so by law or a regulator, or if we discontinue or substantially modify the Site. Sections that by their nature should survive termination (including sections 4–8, 10 and 11) will continue to apply.
10. Intellectual-property complaints
If you believe content on the Site infringes your copyright or other intellectual-property rights, please email hello@evistruct.co.uk with the subject line "IP notice" and include: a description of the work allegedly infringed, the URL of the material in question, your contact details and a statement that the information in your notice is accurate and that you are the rights holder or authorised to act on their behalf. We will investigate and respond promptly.
11. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland you may also bring proceedings in your local courts.
12. General
If any provision of these Terms is found to be unenforceable, the remainder will continue in full force and effect. Our failure to enforce any right is not a waiver of that right. You may not assign or transfer your rights under these Terms without our written consent; we may assign or novate our rights and obligations as part of a corporate reorganisation or sale of our business. These Terms, together with the documents referenced in them, are the entire agreement between you and Evistruct in respect of the Site.
